Terms of Service

Effective Date: May 2, 2026 · Last Updated: September 6, 2026

These Terms of Service (“Terms”) govern your access to and use of the GPAce platform accessible at gpace.ai (the “Service”), operated by GPAce (“we,” “us,” “our”). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

1.1 Age Requirement

You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

If you are under the age of majority in your jurisdiction (typically 18, but this varies by country), you further represent that one of the following is true:

(a) Your parent or legal guardian has reviewed these Terms and consents to your use of the Service; or

(b) You are otherwise legally permitted under your jurisdiction's laws to enter into these Terms — for example, because you are an enrolled university student with legal capacity to contract for educational services.

Your enrollment at a supported university serves as a practical proxy for capacity to enter into this agreement, but does not displace any parental-consent requirements that may apply in your jurisdiction. If you are under 18, we strongly encourage you to involve your parent or guardian before using the Service or making any purchase.

1.2 University Affiliation

The Service is designed for university students. To create an account, you must have a valid university email address from a supported institution. Your university, region, and academic calendar are automatically determined from your email domain. The list of supported institutions is determined at our sole discretion based on operational capacity and may be expanded over time.

1.3 One Account Per Person

Each individual may maintain only one account. Accounts are tied to a single university email address. Creating multiple accounts or sharing account credentials with others is prohibited.

2. Account Registration and Security

2.1 Accurate Information

You agree to provide accurate, current, and complete registration information and to keep available account information up to date.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Notify us promptly at support@gpace.ai if you become aware of unauthorized access.

2.3 Authentication

We may use university-email verification, passwords, email sign-in codes, supported OAuth providers such as Google, device and session checks, and CAPTCHA challenges to register or secure accounts. You agree not to bypass or interfere with these measures.

3. User Content

3.1 Your Content

“User Content” means files and information you upload, enter, create, edit, or share through the Service, including lecture slides, past examination papers, profile images, course details, notes, flashcards, calendar events, tasks, and study preferences.

3.2 Ownership

You retain any rights you hold in User Content. We do not claim ownership of your User Content.

3.3 License Grant

You grant GPAce a limited, non-exclusive, worldwide, royalty-free license, solely as needed to provide, secure, and support the Service, to:

  • Store and retrieve User Content using our infrastructure and service providers
  • Process User Content with automated document, OCR, and AI tools
  • Transmit relevant portions or representations of User Content and limited context to providers that perform processing for the Service
  • Create outputs such as notes, flashcards, quizzes, topic groupings, course and question analysis, and study schedules
  • Display, synchronize, and share User Content and outputs through the Service, including with another user when you intentionally use a sharing feature

This license extends only to GPAce and providers acting on our behalf to the extent reasonably necessary for those purposes. It does not permit us to sell or publicly distribute your User Content.

Model training. GPAce does not use User Content or generated materials to train or fine-tune its own general-purpose machine-learning models. Third-party AI and OCR submissions are made through API services for the requested processing and are handled under the applicable provider terms, as further described in our Privacy Policy.

This license ends when deletion of the applicable User Content or your account is completed, except to the limited extent retention is reasonably necessary for backups, security, billing, legal compliance, dispute resolution, or enforcement.

3.4 Your Representations and Warranties

By submitting User Content, you represent and warrant that:

  1. You have the legal right to submit, process, and, where applicable, share the User Content and to grant the license in Section 3.3
  2. Your User Content does not infringe intellectual property, privacy, confidentiality, or other rights of any third party
  3. You have obtained necessary permissions for GPAce and its providers to process the User Content as described in these Terms and our Privacy Policy
  4. Your User Content is not unlawful, malicious, defamatory, obscene, or otherwise prohibited by these Terms
  5. You understand that relevant portions or representations of uploaded documents are processed by third-party AI and OCR services

3.5 No Guarantee of Accuracy

Generated notes, flashcards, quizzes, schedules, topic groupings, and analyses are produced by automated systems for supplementary study. We do not guarantee their accuracy, completeness, or suitability. You are responsible for checking outputs before relying on them.

3.6 Indemnification for User Content

You agree to indemnify, defend, and hold harmless GPAce, its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, including claims that it infringes third-party rights or violates applicable law.

4. Acceptable Use and Academic Integrity

4.1 Permitted Use

The Service is intended for personal academic use by individual university students. You may upload course materials you are entitled to use and create, edit, download, and use study aids for your own learning.

4.2 Prohibited Conduct

You agree not to:

  1. Submit content you do not have rights to use or disclose, including materials obtained without authorization
  2. Commercially exploit, sublicense, or publicly redistribute generated materials in a manner that violates these Terms or third-party rights
  3. Use the Service for academic dishonesty, including presenting generated content as your own work contrary to your institution's rules
  4. Circumvent plan limits, referral rules, payment requirements, or security measures
  5. Create multiple accounts, share an account, or use bots, scraping, or automated access outside the interfaces we provide without permission
  6. Reverse engineer, decompile, or disassemble the Service except where applicable law expressly permits it
  7. Store or transmit malware or harmful code
  8. Interfere with, overload, or disrupt the Service or its infrastructure
  9. Impersonate another person or misrepresent your university or other affiliation
  10. Use the Service unlawfully or to harm others

4.3 Enforcement

We may investigate and take reasonable action against conduct that violates these Terms or threatens the Service or its users, including:

  • Issuing a warning
  • Restricting, suspending, or deactivating an account
  • Removing User Content or access to a feature
  • Reporting suspected unlawful conduct where appropriate

4.4 Academic Integrity

You are responsible for following your institution's academic-integrity, honor-code, assessment, copyright, and AI-use rules. Those rules may differ by institution, faculty, course, and assessment.

GPAce is a study aid. It is not intended to facilitate cheating, plagiarism, or other academic misconduct.

GPAce is not responsible for disciplinary, academic, or other consequences resulting from your use of the Service or its outputs.

5. Service Tiers and Features

5.1 Free Access

Eligible new users receive one no-cost academic period of core study features. The period begins when the first course is created, is tied to the active semester or trimester, and is subject to the corresponding course limit. It does not automatically carry over after that period ends.

5.2 Plus

Plus provides the core AI study tools, including notes, flashcards, quizzes, and study scheduling, with up to four courses per semester or three courses per trimester.

5.3 Pro

Pro includes Plus features, higher limits of up to six courses per semester or four courses per trimester, past-paper analysis, and exam-tailored study materials. Eligible users may also unlock past-paper analysis for a selected active course with a referral reward.

5.4 Plan Terms

Feature availability, course limits, billing cycles, and pricing may depend on your university's academic calendar and region. The current terms shown in the Service at checkout and our Billing Policy govern your purchase. We may modify features, but will communicate material adverse changes to an active paid plan in advance where practicable.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, algorithms, and content created by us (excluding User Content and outputs derived from User Content), is owned by GPAce and protected by intellectual-property laws. These Terms grant only the limited right to use the Service.

6.2 Generated Study Materials

Generated notes, flashcards, quizzes, analyses, and schedules are provided for your personal academic use. You may download and use them for that purpose, subject to any rights in the source materials. You may not commercially redistribute, sublicense, or publicly distribute them without all required rights or permission.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution.

6.4 Trademark and Brand Use

“GPAce” and the GPAce logo are GPAce trademarks. You may not use our name, logo, or brand elements without prior written consent except to:

  • Truthfully describe your own use of the Service
  • Refer to the Service in academic writing, journalism, or product reviews

You may not imply an endorsement, sponsorship, partnership, or affiliation that does not exist. Contact support@gpace.ai to request permission for other brand use.

7. Third-Party Services

The Service relies on third-party providers for functions such as payment processing, authentication, automated document processing, infrastructure, and abuse prevention. Where you interact directly with a third-party service through the Service (for example, with our payment processor's checkout flow or an OAuth sign-in popup), that interaction is governed by the terms and privacy policy of the relevant third party. Information about the categories of providers we use, and the data we share with them, is set out in our Privacy Policy.

We select these providers in good faith but do not control them. We are not responsible for the acts, omissions, performance, security practices, or content of any third-party service. If a third-party service becomes unavailable or changes its terms, we may need to modify, restrict, or discontinue features of the Service that depend on it; such changes do not constitute a breach of these Terms by us.

8. Copyright Complaints

We respect the intellectual property rights of others and expect users of the Service to do the same.

8.1 Notice of Claimed Infringement

If you believe that material accessible through the Service infringes your copyright or other intellectual property rights, please send a written notice to support@gpace.ai with the subject line “Copyright Notice” containing:

  1. A description of the copyrighted work or other intellectual property you claim has been infringed
  2. A description of the material you claim is infringing and information sufficient to allow us to locate it within the Service (such as a relevant account, course identifier, or document title — please do not include other users' personal information beyond what is strictly necessary)
  3. Your contact information (name, email address, postal address, and telephone number)
  4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf
  6. Your physical or electronic signature

8.2 Our Response

Upon receipt of a complete and good-faith notice, we will:

  • Review the claim and, where appropriate, remove or disable access to the allegedly infringing material
  • Notify the user who uploaded the material, where reasonably possible
  • Take action against repeat infringers, including account suspension or termination

8.3 Counter-Notice

If you are a user whose material was removed and you believe it was removed in error or as a result of misidentification, you may submit a counter-notice to support@gpace.ai with the subject line “Counter-Notice” containing:

  1. Identification of the material that was removed and its location before removal
  2. A statement under penalty of perjury that you have a good-faith belief that the material was removed as a result of mistake or misidentification
  3. Your contact information and your consent to the jurisdiction of the courts of the Hong Kong Special Administrative Region (or, if you reside outside Hong Kong, the courts of your jurisdiction of residence) for the purpose of resolving the dispute
  4. Your physical or electronic signature

8.4 Repeat Infringers

We will terminate the accounts of users determined, in our reasonable judgment, to be repeat infringers of intellectual property rights.

8.5 Misrepresentations

Submitting a false or bad-faith notice or counter-notice may expose you to liability for damages and legal fees under applicable law.

9. Account Suspension and Termination

9.1 Suspension by Us

We may restrict, suspend, or deactivate an account when we reasonably believe that:

  • You have violated these Terms
  • The account is associated with abnormal, abusive, or fraudulent activity
  • Continued access creates a security or operational risk
  • Action is required by law or legal process

9.2 Effect of Suspension

Suspension may immediately limit access while relevant data remains retained. A failed or unresolved payment may instead place the subscription past due and return the account to Free access until payment is recovered or the subscription ends.

9.3 Termination by You

You may request account deletion by contacting support@gpace.ai. Cancelling a paid subscription in the Service does not itself delete your account. Account termination does not create a refund right except as stated in the Billing Policy or required by law.

9.4 Effect of Termination

When account deletion is completed, account data will be deleted or de-identified as described in the Privacy Policy, subject to limited backup, billing, security, legal, and dispute records. Any active subscription associated with the account will be cancelled.

9.5 Account Decisions

We will endeavor to act reasonably and in good faith on account access, billing, and enforcement decisions. Our determinations are subject to any statutory rights that cannot lawfully be limited.

10. Disclaimers

10.1 “As Is” Service

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

10.2 No Academic Guarantee

We do not guarantee that using the Service will improve your academic performance, grades, or outcomes. The Service is a supplementary study tool and is not a substitute for attending classes, engaging with course material, or following your institution's academic requirements.

10.3 Processing Limitations

AI and OCR processing may produce errors, omissions, or inaccuracies. We do not guarantee that processing will be error-free, uninterrupted, or that all content will be accurately extracted or analyzed.

10.4 Availability

We do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues, or circumstances beyond our control.

11. Limitation of Liability

11.1 Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall GPAce, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, academic consequences, or damage arising from your use of or inability to use the Service.

11.2 Liability Cap

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars (USD $100), whichever is greater.

11.3 Essential Basis

The limitations in this section apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages. These limitations are an essential element of the agreement between you and GPAce.

12. Indemnification

You agree to indemnify, defend, and hold harmless GPAce, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. Your use of the Service
  2. Your User Content, including any claim that your User Content infringes or violates the rights of any third party
  3. Your violation of these Terms
  4. Your violation of any applicable law or regulation

13. Cooling-Off and Withdrawal

By subscribing to a paid plan, you acknowledge that the Service delivers digital content immediately upon subscription activation. To the maximum extent permitted by applicable law, you expressly consent to immediate performance and acknowledge that you waive any right of withdrawal or cooling-off period that may otherwise apply. Where applicable law does not permit waiver of withdrawal rights, such rights shall apply as required by law.

14. Force Majeure and Service Discontinuation

14.1 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or third-party service outages.

14.2 Service Discontinuation

We reserve the right to discontinue the Service, in whole or in part, at any time. If we discontinue the Service entirely, we will make reasonable efforts to provide advance notice to active subscribers. In the event of a full discontinuation, active paid subscribers will receive a pro-rata refund or credit for any unused portion of their current billing period, calculated from the date of discontinuation. This Section 14.2 constitutes the sole remedy in the event of service discontinuation.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the courts of the Hong Kong Special Administrative Region, which shall have exclusive jurisdiction.

15.3 Equitable Relief

You acknowledge that a breach of Section 3.4 (Your Representations and Warranties) or Section 4 (Acceptable Use and Academic Integrity) — for example, by uploading material you have no right to upload, or by using the Service to commit fraud or harm others — may cause us irreparable harm for which monetary damages would not be an adequate remedy. We are therefore entitled to seek injunctive or other equitable relief in any court of competent jurisdiction, in addition to any other remedies available at law, without the requirement to post bond or prove actual damage.

15.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Billing Policy, constitute the entire agreement between you and GPAce regarding your use of the Service.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service with a revised “Last Updated” date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16.6 Survival

The following provisions survive termination of these Terms or your account, to the extent necessary to give them effect:

  • Sections 3.4 (Your Representations and Warranties), 3.5 (No Guarantee of Accuracy), and 3.6 (Indemnification for User Content), with respect to User Content uploaded before termination
  • Section 6 (Intellectual Property)
  • Section 8 (Copyright Complaints)
  • Section 10 (Disclaimers)
  • Section 11 (Limitation of Liability)
  • Section 12 (Indemnification)
  • Section 15 (Governing Law and Dispute Resolution)
  • This Section 16 (General Provisions)
  • Any payment obligations that accrued prior to termination

16.7 Export Controls and Sanctions

You represent and warrant that:

(a) You are not located in, and are not a national of or ordinarily resident in, any country or region subject to comprehensive economic sanctions administered by the United States, the United Kingdom, the European Union, or the United Nations;

(b) You are not on any restricted-party, denied-persons, or specially-designated-nationals list maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce, the U.K. Office of Financial Sanctions Implementation, or any equivalent authority; and

(c) You will not access, use, or export the Service in violation of any applicable export-control or sanctions law.

Some of our third-party service providers (including AI and OCR providers) are subject to U.S. export controls. Your use of the Service indirectly relies on these providers, and these restrictions therefore apply to your use of the Service.
