Billing Policy

This Billing Policy describes the subscription plans, pricing, billing cycles, payment processing, cancellation, and refund terms for the GPAce platform (“Service”). This policy supplements our Terms of Service and Privacy Policy.

By subscribing to a paid plan, you agree to the terms described in this Billing Policy.

1. Subscription Plans

1.1 Free Tier

All users start on the Free tier at no cost. The Free tier includes:

  • 1 free course per semester (must be used within the semester it is activated)
  • Free course allowances do not carry over between semesters; unused allowances expire at the end of the semester

From time to time we may offer promotional free course allowances (for example, additional free courses for early signups at newly supported universities). Current promotions, if any, are described on the Service.

1.2 Plus Tier

The Plus tier includes:

  • AI-generated study notes, flashcards, and quizzes
  • Past paper analysis
  • 4 courses per semester (2-semester system) or 3 courses per semester (trimester system)

1.3 Pro Tier

The Pro tier includes everything in Plus, plus:

  • Study materials tailored to past paper content
  • Manual topic sorting
  • AI scheduling and planning
  • 6 courses per semester (2-semester system) or 4 courses per semester (trimester system)

1.4 Referral Program

Users may earn additional free courses through the referral program:

  • A referral is considered successful when the referred user creates their first course on the Service
  • Every 2 successful referrals earn 1 additional free course, usable in any semester
  • Maximum of 3 additional courses earned through referrals over the lifetime of the account

2. Pricing

Pricing varies by region (automatically derived from your university), your selected tier (Plus or Pro), and your billing cycle (semester or yearly). All charges are made in the local currency of your region.

Current pricing is shown on our pricing page and is also displayed in the Service at checkout. The price shown at checkout is authoritative in case of any discrepancy.

Prices are subject to change. Any price changes will apply to new billing periods only and will be communicated to existing subscribers before taking effect.

3. Billing Cycles

3.1 Semester Billing

Semester billing charges are aligned with your university's academic calendar. You are charged at the beginning of each semester period, and your subscription covers the full semester including any gap months between semesters.

Example: If your semesters run February–May and September–December, and you subscribe in March on a semester billing cycle:

  • You are charged immediately for the current period
  • Your billing period extends through August 31 (the last day before your next semester billing date of September 1)
  • Your next charge occurs on September 1

3.2 Yearly Billing

Yearly billing charges you once per year at a discounted rate compared to semester billing. The billing anchor date is derived from your university's academic calendar — specifically, from the start of your university's first semester of the academic year. We maintain academic calendars for each supported university; you cannot manually set the anchor date.

3.3 Access During Gap Months

Your paid tier status is maintained continuously throughout your billing period, including during academic gap months (months between semesters). During gap months:

  • You retain your paid tier designation (Plus or Pro)
  • You can access previously created courses and generated study materials
  • Course creation is not available during gap months, as courses must be assigned to an active semester
  • New subscription signups and tier upgrades are not available during gap months
  • Cancellations and downgrades remain available during gap months

3.4 Billing Date Alignment

Billing dates are automatically derived from the start months of your semester periods. You cannot manually choose a billing date.

4. Payment Processing

4.1 Payment Method

All payments are processed through Stripe. You must provide a valid payment method accepted by Stripe. We do not store your payment card details.

4.2 How Charges Are Processed

When you subscribe or upgrade, we authorize your payment method for the applicable amount. The charge is captured after your subscription is successfully configured. If the subscription setup fails, the authorization is released.

4.3 Recurring Charges

For recurring billing, Stripe automatically charges your default payment method on each billing date. It is your responsibility to ensure your payment method remains valid and has sufficient funds.

4.4 Failed Payments

If a recurring payment fails:

  • Your subscription status is set to “past due”
  • Your account tier is downgraded to Free
  • You may attempt to recover your subscription through the Service
  • If payment remains unresolved, your subscription may be cancelled

4.5 Receipts and Invoices

After each successful charge, we will email you a receipt and invoice from a GPAce email address. Receipts and invoices are generated by us using transaction information provided by Stripe and reflect the charge processed by Stripe on our behalf.

5. Upgrades and Downgrades

5.1 Tier Upgrades (Plus to Pro)

  • Upgrades take effect immediately
  • You are charged the price difference between your current tier and the new tier for the remainder of your current billing period
  • If changing billing cycle at the same time, the charge is prorated accordingly
  • Upgrades are not available during gap months

5.2 Tier Downgrades (Pro to Plus)

  • Downgrades are scheduled to take effect at the start of your next billing period
  • You retain Pro features until the end of your current billing period
  • No refund or credit is issued for the remaining time on your current period

5.3 Billing Cycle Changes

  • You may change between semester and yearly billing
  • Changes take effect at the start of your next billing period
  • No immediate charge is applied for a cycle change without a tier change

6. Cancellation

6.1 How to Cancel

You may cancel your subscription at any time through the Service.

6.2 Effect of Cancellation

  • Active subscriptions: Your subscription remains active until the end of your current billing period. You retain access to all paid features until that date. At the end of the period, your account reverts to the Free tier.
  • Past due or incomplete subscriptions: Cancellation takes effect immediately and your account reverts to the Free tier.

6.3 Course Data After Cancellation

When your account reverts to Free tier:

  • Your existing courses and generated study materials remain accessible
  • You will be subject to Free tier course creation limits going forward
  • Previously processed content is not deleted

7. Refund Policy

7.1 General Policy

All subscription charges are non-refundable, except where prohibited by applicable law. This includes:

  • Semester and yearly subscription fees
  • Tier upgrade charges
  • Partial-period charges

This policy is subject to your statutory rights, including any applicable cooling-off or withdrawal rights as described in Section 13 (Cooling-Off and Withdrawal) of our Terms of Service.

7.2 Exceptions

We may, at our sole discretion, issue refunds or credits in the following exceptional circumstances:

  • Documented technical failures on our part that prevented you from using paid features for a material portion of your billing period
  • Billing errors resulting in incorrect charges
  • Other circumstances where we determine a refund is warranted

The determination of whether an exception applies and the amount of any refund or credit is at GPAce's sole discretion.

Refund requests must be submitted to support@gpace.ai within 14 days of the charge in question.

7.3 Refund Method

Approved refunds are processed through Stripe to the original payment method. Processing times depend on your payment provider and are outside our control.

8. Loss of University Affiliation

If you lose access to your university email address (due to graduation, transfer, withdrawal, or other reasons), the following applies:

  • Your current billing period will continue until its scheduled end date
  • Your subscription will not renew at the end of the current billing period
  • At the end of the current billing period, your account will revert to the Free tier
  • You will retain access to previously created courses and generated study materials, but course creation will no longer be available

If you transfer to another supported university and obtain a new university email address, you may contact support@gpace.ai to migrate your account.

9. Free Tier Quota and Expiration

9.1 Signup Free Courses

Free course allowances are tied to a specific semester and academic year. They expire at the end of that semester and do not carry over.

9.2 Referral Free Courses

Free courses earned through referrals may be used in any semester but are subject to the per-lifetime cap of 3 additional courses.

9.3 Deletion and Reimbursement

If you delete a course that consumed a free course slot before processing has started, the slot is restored. Once processing has begun on a course, the free course slot is considered consumed regardless of subsequent deletion.

10. Disputes

10.1 Billing Disputes

If you believe you have been incorrectly charged, contact us at support@gpace.ai within 14 days of the charge. We will review the charge and respond within a reasonable timeframe.

10.2 Chargebacks

If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting us, we reserve the right to suspend your account pending resolution of the dispute. We encourage you to contact us first so that we can resolve the issue directly.

10.3 Final Determination

We reserve the right to make final determinations on all billing disputes, refund requests, and account status decisions. While we will act reasonably and in good faith, our decisions on billing matters are binding.

11. Price Changes

We reserve the right to change our pricing at any time. Price changes will:

  • Apply only to new billing periods (not the current active period)
  • Be communicated to affected subscribers in advance where practicable
  • Not affect charges already processed

12. Currency and Taxes

12.1 Currency

All charges are in the currency of your region as determined by your university affiliation. You cannot select a different billing currency.

If your payment method is denominated in a currency different from your billing currency, your bank or card issuer may apply currency conversion or foreign transaction fees. These fees are determined by your card issuer and are outside our control.

12.2 Taxes

Displayed prices include applicable VAT or GST in the United Kingdom, Australia, and Singapore. Hong Kong does not impose a consumption tax applicable to the Service.

In the United States and Canada, displayed prices do not include sales tax. Where applicable, sales tax will be added at checkout based on your jurisdiction, as required by law.
